This policy outlines the rules and responsibilities for vendors selling on the Quexer marketplace, operated by Graphgate Private Limited. By registering and operating as a vendor, you agree to the following terms and confirm your understanding of Quexer’s role as a technology facilitator only.

1. Introduction

This policy governs all vendor-related activity on Quexer and is designed to ensure a compliant, secure, and transparent experience for both customers and sellers. Quexer is a marketplace intermediary and does not assume legal, tax, or product liability for vendor activities.

2. General Vendor Obligations

  • Accurate Business Information
    Vendors must submit and maintain correct details such as GSTIN (if applicable), PAN, address, bank/UPI details, and contact information.
  • Legal & Tax Compliance
    Vendors are solely responsible for ensuring compliance with applicable Indian laws, including GST, Income Tax, Consumer Protection Act, and e-commerce regulations.
  • Fair Business Conduct
    Prohibited behavior includes:
    • Creating fraudulent or duplicate listings
    • Generating fake reviews or ratings
    • Artificial price manipulation
    • Misrepresentation of product origin or authenticity
    • Vendors without GSTIN are permitted to sell only within their registered state. Inter-state sales are prohibited until GST registration is obtained. Vendors are solely responsible for monitoring their turnover and must register under GST once they cross the statutory threshold under the GST Act, and immediately update Quexer with their GSTIN.

3. Product Listing Standards

A. Image Requirements

  • Primary images must use a pure white background (#FFFFFF) except in categories like home decor or furniture where soft, neutral tones are permitted.
  • Minimum resolution: 500×500 pixels, JPEG/PNG only
  • Strictly prohibited: Watermarks, logos, text overlays, borders, or background distractions

B. Product Descriptions

  • Must reflect the actual product truthfully
  • Medical or exaggerated claims (e.g., “Cures cancer”) are prohibited
  • Language must be professional and in English or Hindi

C. Pricing & Inventory

  • All listed prices must include GST and applicable taxes
  • Inventory should be accurate and updated regularly to avoid order cancellations

4. Prohibited Items & Services

Vendors are strictly forbidden from listing:

  • Illegal or regulated items: Drugs, weapons, explosives, counterfeit notes
  • Restricted services: Adult content, gambling, tobacco, alcohol
  • IP-infringing products: Pirated software, fake branded items, trademark-violating replicas

5. Intellectual Property & Content Use

  • Vendors must own or be licensed to use all content uploaded (images, videos, text).
  • Using known brand names or logos without permission is strictly prohibited.
  • IP violation complaints must be sent to [email protected]. Confirmed violations may lead to product removal or account termination.

6. Payments, Commission & Fees

  • Quexer deducts a commission and Razorpay processing fee from each successful transaction.
  • Payouts are initiated after the vendor marks the order “Completed” and are processed via Razorpay to the registered bank or UPI account.
  • Quexer is not responsible for tax filings, invoice generation, or Razorpay transaction delays.

7. Violations & Penalties

Violation Categories:

  • Minor: Non-compliant image or title → Warning + 48-hour fix window
  • Major: Misleading content or product misrepresentation → Listing removal + warning
  • Severe: Illegal item or repeated fraud → Immediate suspension and possible legal action

Three-Strike Rule:

Vendors accumulating 3 unresolved violations will be permanently banned from Quexer.

8. Shipping & Customer Support

  • Vendors must dispatch orders within their stated shipping time
  • Tracking ID and courier URL must be updated in the system
  • All buyer messages must be responded to within 24 hours
  • Repeated failure to ship or respond may lead to account restrictions

9. Policy Updates

Quexer may update this policy as needed. Vendors will be notified via email or dashboard 30 days in advance. Continued usage of the platform indicates acceptance of revised terms.

10. Legal Disclaimer

  • Quexer acts as a digital intermediary only between vendors and buyers.
  • Quexer is not the seller of record, exporter/importer, tax agent, or legal guarantor of any vendor product or service.
  • Vendors are solely responsible for ensuring their products are lawful, safe, and compliant with Indian or international standards.
  • Quexer will restrict vendors marked as intra-state to sales within their state. This restriction is a technical enforcement to ensure compliance, but Quexer is not liable if a vendor fails to update their GST registration once legally required.
  • Vendors are solely responsible for complying with all applicable export, customs, and international trade regulations when selling to customers outside India.
  • Vendors are solely responsible for packaging, shipment, and delivery of products. Quexer is not liable for loss, damage, or delays once the order is dispatched.
  • Quexer reserves the right to review and mediate disputes between buyers and vendors. Final decisions will be made at Quexer’s discretion.
  • Vendors enabling international shipping must ensure they possess all required export documentation, including IEC and applicable bank registration (AD Code), and comply with all export regulations.
