This agreement governs the commission model, financial obligations, and tax responsibilities of vendors operating on the Quexer marketplace platform, owned and operated by Graphgate Private Limited.

By registering and selling on Quexer, you (“Vendor”) agree to the following terms:

1. Commission Structure

1.1 Platform Commission

Quexer charges a commission on each successful transaction completed on the platform. The commission is automatically deducted from the vendor’s earnings once the order is marked as “Completed”.

1.2 Commission Rates

Commission rates may vary based on product category, business model, or promotional agreements. Applicable rates are displayed in the Vendor Dashboard.

Quexer reserves the right to revise commission rates with prior notice.

2. Tax Collection (TCS)

As a registered E-commerce Operator under the CGST Act, Quexer is required to collect Tax Collected at Source (TCS) at 1% on the net value of taxable supplies made through the platform.

This amount will be deducted from vendor payouts and deposited with the appropriate tax authorities.

3. Vendor Tax Responsibilities

Vendors are solely responsible for complying with all applicable tax laws.

This includes:

  • Obtaining GST registration as required under laws governing e-commerce marketplace sellers
  • Charging applicable taxes on products/services
  • Issuing tax-compliant invoices
  • Maintaining accurate PAN, GSTIN, and business details

Vendors without GSTIN may be restricted in functionality until compliance is achieved.

Any disputes, audits, penalties, or consequences arising from tax non-compliance are the sole responsibility of the vendor.

4. International & Export Compliance

For international transactions, vendors are solely responsible for:

  • Compliance with export regulations and foreign trade laws
  • Maintaining valid IEC (Import Export Code)
  • Ensuring proper bank registration (AD Code)
  • Handling GST treatment for exports (LUT or applicable tax payments)
  • Managing customs documentation and clearance

Quexer is not responsible for any export-related compliance, delays, or penalties.

5. Payouts & Settlements

5.1 Payout Trigger

Payouts are initiated after the vendor marks an order as “Completed”.

Quexer will deduct:

  • Platform commission
  • Applicable TCS

The remaining amount will be settled to the vendor.

Marking orders as “Completed” without actual delivery is a violation and may result in penalties or account suspension.

5.2 Razorpay Fees

Payouts are processed through Razorpay.

  • Razorpay may deduct processing fees
  • Quexer is not responsible for Razorpay charges or delays

5.3 Payout Method

All payouts are made in Indian Rupees (INR) to the vendor’s registered bank account or UPI ID.

6. Vendor Compliance Obligations

By selling on Quexer, vendors agree to:

  • Act as the legal seller of record
  • Comply with all applicable tax, business, and consumer laws
  • Maintain accurate account information
  • Respond to customer queries promptly
  • Accept full liability for product quality, delivery, and compliance

7. Quexer’s Legal Position

Quexer operates solely as a marketplace intermediary and does not act as:

  • A product seller or manufacturer
  • A tax filing agent or advisor
  • An exporter or importer
  • A financial or legal advisor

All obligations related to tax, compliance, and statutory reporting remain with the vendor.

8. Cash on Delivery (COD)

  • COD is available for domestic orders only
  • COD is not available for international orders

For COD orders:

  • Quexer assigns the delivery partner
  • Shipping label and invoice are provided to the vendor

Vendors must:

  • Print and attach shipping labels
  • Include invoice inside the package
  • Prepare shipment within 24 hours

COD payments are settled within 7 business days after delivery confirmation.

Quexer may delay or hold COD settlements in cases of:

  • Delivery disputes
  • Policy violations
  • Suspected fraud

9. Fraud & Risk Control

Quexer reserves the right to:

  • Withhold payouts
  • Suspend or restrict vendor accounts
  • Investigate suspicious transactions

This applies in cases of fraud, abuse, policy violations, or non-compliance.

10. Policy Updates

This policy may be updated periodically to reflect legal or operational changes.

Continued use of the platform indicates acceptance of the latest version.

By continuing to sell on Quexer, you confirm that you have read, understood, and agreed to this Vendor Agreement & Tax Policy, and accept full responsibility for your financial and tax obligations.
